These Terms of Service ("Terms") govern your access to and use of Waalfa's WhatsApp Business API platform and services. By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using Waalfa's services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Service Description
Waalfa provides a cloud-based platform that enables businesses to access and use the WhatsApp Business API for customer communication. Our services include:
- WhatsApp Business API integration and management
- Message broadcasting and automation tools
- Contact management and segmentation
- Analytics and reporting dashboards
- Template message creation and management
- Multi-user access and team collaboration features
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.
3. Account Registration and Security
3.1 Account Creation
To use our services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You agree to:
- Use a strong, unique password for your account
- Notify us immediately of any unauthorized access or security breach
- Not share your account credentials with others
- Accept responsibility for all activities under your account
3.3 Account Suspension
We reserve the right to suspend or terminate your account if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion.
4. Acceptable Use Policy
You agree NOT to use our services to:
- Send spam, unsolicited messages, or engage in mass messaging without proper consent
- Violate any applicable laws, regulations, or third-party rights
- Transmit harmful, offensive, or illegal content
- Impersonate any person or entity
- Interfere with or disrupt our services or servers
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble our software
- Violate WhatsApp's Commerce Policy or Business Policy
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.
5. WhatsApp Compliance
As a user of WhatsApp Business API through Waalfa, you must comply with:
- WhatsApp Business Policy
- WhatsApp Commerce Policy
- Meta's Terms of Service
- All applicable data protection and privacy laws
You acknowledge that WhatsApp may suspend or terminate your access to the WhatsApp Business API for violations of their policies, and Waalfa is not responsible for such actions.
6. Pricing and Payment
6.1 Fees
You agree to pay all fees associated with your chosen subscription plan. Fees are billed in advance on a monthly or annual basis, as selected during signup.
6.2 Payment Terms
- All fees are non-refundable except as required by law
- Prices are subject to change with 30 days' notice
- Failed payments may result in service suspension
- You are responsible for all applicable taxes
6.3 WhatsApp Conversation Charges
In addition to platform fees, you are responsible for WhatsApp conversation charges as determined by Meta. These charges are billed separately based on your usage.
7. Intellectual Property
7.1 Our IP
All rights, title, and interest in and to Waalfa's services, including all software, designs, trademarks, and content, are and will remain the exclusive property of Waalfa.
7.2 Your Content
You retain all rights to the content you upload or transmit through our services. By using our services, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing our services.
8. Data Protection and Privacy
We process personal data in accordance with our Privacy Policy and applicable data protection laws. As a user of our services, you are the data controller for any personal data you process through our platform, and we act as your data processor.
You warrant that you have obtained all necessary consents and have a lawful basis for processing personal data through our services.
9. Service Level and Uptime
We strive to maintain 99.9% uptime for our services. However, we do not guarantee uninterrupted access and are not liable for:
- Scheduled maintenance windows
- Force majeure events
- Third-party service disruptions (including WhatsApp/Meta)
- Issues caused by your actions or equipment
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Waalfa shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
- We provide services "as is" without warranties of any kind
11. Indemnification
You agree to indemnify and hold harmless Waalfa, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
12. Termination
You may terminate your account at any time by contacting our support team. We may terminate or suspend your account immediately, without prior notice, for any violation of these Terms.
Upon termination, your right to use our services will immediately cease. We will retain your data for 30 days after termination, after which it will be permanently deleted unless required by law to retain it longer.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Email notification to your registered email address
- In-app notification
- Posting on our website
Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Bangalore, India, except where prohibited by law.
15. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and Waalfa
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect
- Waiver: No waiver of any term shall be deemed a further or continuing waiver
- Assignment: You may not assign these Terms without our prior written consent
